Terms and conditions of use

1. SUBJECT OF THE CONTRACT

These Terms and Conditions govern access to and use of the Wennov Connect platform, provided by Glo Wennov SRL By creating an account, the User fully accepts these Terms.

2. SERVICES PROVIDED

Wennov Connect provides a SaaS omnichannel communication platform (SMS, Email, Voice, WhatsApp) with campaign, segmentation, analytics, and API integration capabilities. The service is intended exclusively for legal entities and professionals (B2B).

3. USER OBLIGATIONS

The User undertakes to: use the platform exclusively for lawful purposes, hold valid consent from message recipients, not send spam, illegal or abusive content, comply with GDPR and applicable electronic communications law, not use the platform for attacks, scraping, or infrastructure-affecting activities.

Detailed rules on consent, opt-out, prohibited content, sender identification and enforcement are set out in the Acceptable Use Policy (/aup), which forms an integral part of these Terms. Breaching it allows immediate suspension of the account.

4. PRICING AND PAYMENT

Fees are per the selected plan displayed on the platform. Billing is monthly or annually. Prices are in EUR excluding VAT unless otherwise specified. Non-payment results in access suspension after 7 days of delay.

5. INTELLECTUAL PROPERTY RIGHTS

All intellectual property rights in the platform belong to Glo Wennov SRL The User receives a limited, non-exclusive, non-transferable licence during the contract term.

6. LIMITATION OF LIABILITY

Wennov does not guarantee 100% message delivery, which depends also on third-party operators (CPaaS and email providers). Total liability shall not exceed the subscription fee paid in the month preceding the incident. Indirect damages, loss of profit, and data loss are excluded to the extent permitted by law.

7. PRIVACY AND PERSONAL DATA

Personal data processing is governed by the Privacy Policy at /privacy.

Where the User uses the platform to communicate with their own contacts, the User is the controller of that data and Wennov Connect is the processor. That relationship is governed by the Data Processing Agreement (/dpa), which forms an integral part of these Terms and applies automatically without separate signature. The DPA covers security measures, subprocessors, international transfers, assistance with data subject rights, and deletion of data on termination.

We give the User at least 30 days notice before adding or replacing a subprocessor that handles their data, with a right to object on reasonable grounds within that period.

In the event of a security breach affecting User data, we notify the User without undue delay, with the information needed to meet obligations under Art. 33 and 34 GDPR.

RETENTION NOTICE: the platform automatically applies operational retention periods (campaign messages 60 days, individual messages 30 days, send tracking 60 days). The User is responsible for exporting any data needed for their own compliance obligations before those periods expire.

8. AMENDMENT OF TERMS

Wennov reserves the right to modify these Terms with 30 days' notice. Continued use after expiry constitutes acceptance of the new Terms.

9. SUSPENSION AND TERMINATION

Wennov may suspend or terminate access in case of: non-payment, breach of Terms, security risk, or fraudulent activity. The User may terminate at any time, with effect at the end of the billed period.

10. FORCE MAJEURE

Wennov is not liable for delays or non-performance caused by force majeure events (disasters, large-scale cyberattacks, governmental orders, etc.).

11. GOVERNING LAW AND DISPUTES

These Terms are governed by Romanian law. Disputes shall be resolved amicably, failing which by competent courts in Bucharest. Users may also contact ANPC (www.anpc.ro) or the SOL platform (ec.europa.eu/consumers/odr).
